These Terms of Service form a binding agreement between you and TINCAN regarding your use of Zyllai. Please read them carefully before creating an account, subscribing to a plan, or using generated learning content through the platform.
1. Who we are
Zyllai is operated by TINCAN, a company based in Delaware, United States. In these Terms of Service, “TINCAN,” “Zyllai,” “we,” “our,” and “us” refer to the operator of the Zyllai website, applications, APIs, and related services.
These Terms govern your access to and use of the Zyllai platform, including the website, catalog, account system, billing features, generated learning content, and any associated communications or support channels.
2. Acceptance of these terms
By accessing or using Zyllai, creating an account, browsing the catalog, purchasing a plan, or using any generated course or workspace feature, you agree to be bound by these Terms and by our Privacy Policy.
If you use Zyllai on behalf of a company, school, or other organization, you represent that you have authority to bind that organization to these Terms.
3. Eligibility and accounts
You must provide accurate, current, and complete information when creating an account and when using billing or account management features. You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account.
You must promptly notify us if you suspect unauthorized access to your account or any security incident affecting your use of the service.
We may suspend, restrict, or terminate access where we reasonably believe an account is being used fraudulently, abusively, unlawfully, or in a way that threatens the platform, other users, or our providers.
4. The service
Zyllai provides an AI-powered learning workspace that can generate structured learning content from user input. Depending on plan, account state, and platform availability, the service may include curriculum generation, lesson scripting, slides, narration, video, quizzes, a published catalog, account history, billing, and administrative or support tools.
Certain features may be modified, improved, removed, rate-limited, gated by subscription plan, or made subject to usage quotas, credits, maintenance windows, or operational constraints.
5. Generated content and platform limitations
Zyllai uses automated systems and third-party AI and infrastructure providers to generate learning materials. Generated outputs may contain inaccuracies, omissions, outdated information, formatting issues, or content that does not fit your intended use perfectly.
You are responsible for reviewing generated courses, slides, narration, videos, quizzes, and related outputs before relying on them in academic, professional, regulatory, medical, legal, financial, or safety-sensitive contexts.
We do not guarantee that generated content will be error-free, original, complete, fit for a particular purpose, or continuously available in unchanged form.
6. Acceptable use
You may not use Zyllai to violate applicable law, infringe intellectual property or privacy rights, distribute malware, interfere with the operation of the platform, scrape or harvest protected data, bypass access controls, abuse credits, create fraudulent subscriptions, or attempt to reverse engineer protected parts of the service except where such restriction is prohibited by law.
You may not use Zyllai to generate, publish, or distribute unlawful, deceptive, abusive, harassing, or malicious content, or to create content intended to facilitate fraud, impersonation, or harmful conduct.
We may investigate suspected misuse and may remove content, limit access, suspend accounts, cancel subscriptions, or take other protective action when necessary.
7. Plans, billing, credits, and renewals
Certain features require a paid subscription. Paid plans, usage credits, student eligibility conditions, renewal cycles, and price display are governed by the checkout flow, your billing page, and the subscription terms shown at the time of purchase.
Recurring subscriptions renew automatically until canceled. Billing is processed through third-party payment providers such as Stripe. We do not store full payment card details on our own systems.
Generation credits, where applicable, are service entitlements rather than stored monetary balances unless required otherwise by law. Credits may be subject to plan rules, reset periods, anti-abuse controls, and technical validation.
You are responsible for any taxes, duties, or governmental charges associated with your purchase except where such charges are collected directly by the payment processor.
8. Cancellation, changes, and refunds
You may manage or cancel eligible subscriptions through the billing tools we make available, including the customer portal provided by our payment processor where enabled.
Plan availability, prices, included credits, and feature scope may change over time. Where legally required, changes to recurring pricing will take effect only after notice and on a future billing cycle.
Refunds, credits, or commercial adjustments are provided only where required by law or where we decide to do so in our discretion.
9. Intellectual property
The Zyllai service, including the software, product design, brand elements, workflows, visual interfaces, and underlying systems, is owned by TINCAN or its licensors and is protected by intellectual property and other applicable laws.
As between you and TINCAN, you retain rights you may hold in the prompts, source materials, and other content you submit, subject to the rights needed for us and our providers to operate, secure, improve, and support the service.
Subject to these Terms and applicable law, you may use generated outputs for your internal, personal, or commercial purposes, but you remain responsible for ensuring that your use of such outputs does not infringe third-party rights or violate law.
10. Third-party services
Zyllai relies on third-party providers for infrastructure, payments, authentication-related communications, storage, and AI or media generation. Your use of certain parts of the service may therefore also be affected by those providers’ availability, terms, and policies.
We are not responsible for outages, limitations, acts, or omissions of third-party services except to the extent required under applicable law.
11. Availability and support
We aim to operate Zyllai in a reliable and production-minded way, but we do not guarantee uninterrupted availability, permanent retention of all generated assets, or error-free operation. Maintenance, upgrades, provider incidents, abuse prevention, or infrastructure failures may affect service continuity.
We may provide product updates, administrative tools, and support communications, but we are not obligated to maintain any particular feature forever.
12. Disclaimers
To the maximum extent permitted by law, Zyllai is provided on an “as is” and “as available” basis. TINCAN disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted service.
No information or advice obtained from us or through the service creates any warranty not expressly stated in these Terms.
13. Limitation of liability
To the maximum extent permitted by law, TINCAN and its officers, directors, employees, affiliates, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or content arising out of or related to your use of Zyllai.
To the maximum extent permitted by law, the total aggregate liability of TINCAN for claims arising out of or relating to the service or these Terms will not exceed the greater of the amount you paid to TINCAN for the service in the twelve months preceding the event giving rise to the claim, or one hundred U.S. dollars (USD 100).
Nothing in these Terms limits liability that cannot be limited under applicable law.
14. Indemnification
You agree to defend, indemnify, and hold harmless TINCAN and its affiliates, personnel, and providers from and against claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from or related to your content, your misuse of the service, your violation of these Terms, or your violation of applicable law or third-party rights.
15. Termination
You may stop using Zyllai at any time. We may suspend or terminate access immediately where necessary to protect the platform, comply with law, address abuse, enforce these Terms, or manage risk.
Sections of these Terms that by their nature should survive termination will survive, including sections relating to ownership, billing obligations, disclaimers, limitation of liability, indemnification, dispute resolution, and contact.
16. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Unless applicable law requires otherwise, disputes arising out of or relating to these Terms or the service will be brought exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction and venue of those courts.
17. Changes to these terms
We may update these Terms from time to time to reflect product changes, legal requirements, or operational developments. The updated version will be posted on this page with a revised effective date.
Your continued use of Zyllai after updated Terms become effective constitutes acceptance of the revised Terms.
